Articles Of Incorporation
1. Name
The name of the corporation shall be Lake Front Royal Property Owners Association, Inc.
2. Purposes
- To promote the health, safety, and general welfare of owners of real property situated in the subdivisions known as Lake Front Royal, Warren County, Virginia.
- To acquire, by gift, purchase, or otherwise, title to streets, roads, rights-of-way, recreation areas, beaches, and parks in Lake Front Royal, and all developer rights, including those retained in the restrictive covenants recorded in the Clerk’s Office of the Circuit Court of Warren County, Virginia (Deed Book 177, pp. 211 & 518; Deed Book 188, p. 236).
- To collect road maintenance and other fees set forth in the restrictive covenants and to maintain and operate corporate facilities for the benefit of the members of this corporation.
- To serve as the architectural committee set forth in the above-mentioned restrictive covenants.
- To do all things necessary or incidental to the foregoing purposes and any other acts that promote the common benefit and enjoyment of members.
3. Disposition of Assets Upon Dissolution
Upon dissolution, corporate assets shall be dedicated to an appropriate public agency or utility to be used for purposes as nearly as practicable the same as those required of the corporation. If such dedication is refused, assets shall be granted or conveyed to a non-profit entity to be used for like purposes. No disposition shall divest or diminish any member right or title vested under the Covenants unless made in accordance with those Covenants, and no member shall derive pecuniary gain from such disposition.
4. Registered Office and Agent
The initial registered office of the corporation is:
Culpeper Star Route, Box 2AFront Royal, Warren County, Virginia
The initial registered agent at such office is Everett B. Willis, a resident of Virginia and a director of the corporation.
5. Initial Board of Directors
The number of directors constituting the initial Board of Directors is eleven (11). The initial directors are:

6. Membership & Voting
- Membership. Every person or entity who is a record owner of fee or undivided fee interest in any lot subject, by the Covenants and pertinent contracts, to assessment by this corporation for road maintenance fees and/or club dues shall be eligible for membership (holders of security interests only are not eligible). Eligibility is based on Warren County real property tax records as of each January 1, with mid-year transfers recognized upon satisfactory evidence. Membership is established upon application (per by-laws) and continues while the member complies with the by-laws, rules, and regulations and remains an owner. Membership rights may be suspended in accordance with the by-laws.
- Voting. Members are entitled to one vote for each lot in which they hold the qualifying interest. Where multiple persons hold an interest in a lot, all may become members, but not more than one vote shall be cast per lot.
